By accessing or using ConversionIQ's website, platform, and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and ConversionIQ, Inc. ("ConversionIQ," "we," "our," or "us").

2. Description of Services

ConversionIQ provides AI-powered customer engagement tools, including:

  • CommentResponderâ„¢ — Autonomous AI moderation and response for social media comments
  • ChattiLiveâ„¢ — Conversational AI agent for website visitor engagement

These Services leverage our proprietary HyperCognitive AI Engine to process, analyze, and respond to customer interactions on your behalf.

3. Account Registration

To use our Services, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Be responsible for all activities under your account

4. Subscription and Billing

Our Services are offered on a subscription basis. By subscribing, you agree to:

  • Pay all fees associated with your selected plan
  • Automatic renewal unless canceled before the end of the billing cycle
  • Price changes with 30 days' advance notice

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate social media platform terms of service through our tools
  • Attempt to reverse engineer, decompile, or disassemble our AI engines
  • Use the Services to generate spam, misleading, or harmful content
  • Exceed usage limits associated with your subscription plan
  • Share account credentials or allow unauthorized access

6. Intellectual Property

All intellectual property rights in the Services, including the HyperCognitive AI Engine and its component engines (Chatti, Dotti, Matti, Omni, Auditti), are owned by ConversionIQ, Inc. Our technology is protected by pending U.S. patent applications. You are granted a limited, non-exclusive license to use the Services during your subscription period.

7. Your Content

You retain ownership of the content you provide to the Services (brand guidelines, knowledge bases, product information). By using our Services, you grant us a limited license to process this content solely for the purpose of delivering the Services.

8. AI-Generated Responses

Our AI engines generate responses on your behalf. While we strive for accuracy through our multi-engine validation system, you acknowledge that:

  • AI-generated responses are made on your behalf and under your brand
  • You are responsible for monitoring and reviewing AI activity
  • You should configure response guidelines and filters appropriately

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERSIONIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold ConversionIQ harmless from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Services will cease, and you remain responsible for any outstanding fees. We may retain certain data as required by law.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms. Material changes will be communicated via email or through the platform. Continued use of the Services after changes constitutes acceptance.
